A joint-stock company is a business entity which is owned by shareholders. Each shareholder owns the portion of the company in proportion to his or her ownership of the companys shares (certificates of ownership). This allows for the unequal ownership of a business with some shareholders owning a larger proportion of a company than others. Shareholders are able to transfer their shares to others without any effects to the continued existence of the company. A voluntary organization which is an artificial person created by law, having limited liability of its members and a perpetual succession with its capital divided into transferable shares and which has a common seal. A joint stock company is a voluntary association formed by people to carry on a certain business for profit. People contribute their capital in the forms of shares in the company. Company works in its own name under a common seal. It has separate entity from its members. Characteristics Of Joint Stock Company: To understand the concept of joint stock (private and public limited) companies, consider the following characteristics: Legal formation: No single individual or a group of individuals can start a business and call it a joint stock company. A joint stock company can come into existence only when it has been registered after completion of all the legal formalities required by the Indian Companies Act, 1984 A company is a voluntary association of persons joining hands with a common motive. For the private company formation, there must be at least two members maximum limit is fifty. For the public company formation, minimum number of members is seven and there is no restriction over its maximum number. Artificial person: Just like an individual takes birth, grows, enters into relationships and dies, a joint stock company takes birth, grows, enters into relationships and dies. However, it is called an artificial person as it’s birth, existence and death are regulated by law. i)a company is lifeless but it has a privilege of human being. ii)A company can sue or can be sued in its own name. iii)A company can own and hold property in its own name. v)A company can enforce the contractual rights against others. v)A company can enter into contracts. Separate legal entity: Being an artificial person, a joint stock company has its own separate existence independent of it’s investors. This means that a joint stock company can own property, enter into contracts and conduct any lawful business in it’s â€Å"own† name. It can sue and can be sued b y others in the court of law. The shareholders are â€Å"not† the owners of the property owned by the company. Also, the shareholders cannot be held responsible for any of the acts of the company. The two are two persons in the eye of law. Common seal: A joint stock company has a â€Å"seal†, which is used while dealing with others or entering into contracts with outsiders. It is called a common seal as it can be used by any officer at any level of the organization working on behalf of the company. Any document, on which the companys seal is put and is duly signed by any official of the company, becomes binding on the company. For example, a purchase manager may enter into a contract for buying raw materials from a supplier. Once the contract paper is sealed and signed by the purchase manager, it becomes valid. The purchase manager may leave the company or may be removed from his job or may have taken a wrong decision, yet, the contract is valid till a new contract is made or the existing contract expires. Perpetual existence: A joint stock company continues to exist as long as it fulfills the requirements of law. It is not affected by the death, lunacy, insolvency or retirement of any of it’s investors. For example, in case of a private limited company having four members, if all of them die in an accident, the company will â€Å"not† be closed. It will continue to exist. The shares of the company will be transferred to the legal heirs of the members. Limited liability: In a joint stock company, the liability of a member is limited to the amount he has invested. While repaying debts, for example, if a person has invested only Rs. 10,000 then only this amount that he has invested can be used for the payment of debts. That is, even if there is liquidation of the company, the personal property of the investor can not be used to pay the debts and he will lose his investment worth Rs. 10,000. Democratic management: Joint stock companies have democratic management and control. Since in joint stock companies there are thousands and thousands of investors, all of them cannot participate in the affairs of management of the company. Normally, the investors elect representatives from among themselves known as ‘Directors’ to manage the affairs of the company. Advantages of Joint Stock Company Large financial resources: A joint stock company is able to collect a large amount of capital through contributions from a large number of people. In a public limited company, shares can be offered to the general public to raise capital. The companies can also accept deposits from the public and issue debentures to raise funds. Greater permanency: The life of a joint stock company compared to the partnership is very stable . if the business remains well managed ,it can live on indefinitely . the share holders may come or go ,the life of the company like an ‘ artificial person’is least affected by these changes Limited liability: In case of a joint stock company, the liability of its members is limited to the value of shares held by them. Private property of members cannot be confiscated for overcoming the debts of the company. This advantage attracts many people to invest their savings in the company and it encourages the company to take more risks. Professional management: Management of a company is in the hands of the directors, who are elected democratically by the members or shareholders. These directors are known as the Board of Directors. They manage the affairs of the company and are accountable to all the investors. So, the investors elect capable persons who have sound financial, legal and business knowledge to the board so that they can manage the company efficiently. Large-scale production: Since there is an availability of large financial resources and technical expertise, it is possible for the companies to have large-scale production. This enables the company to produce more efficiently and at a lower cost. Research and development: Only in joint stock company form of business, it is possible to invest a lot of money on research and development so that new design, better quality products, etc. can be achieved. Huge capital: Capital is increased in joint stock company as compared to partnership and sole proprietorship Higher profit: Due to availability of latge capital ,the company installs expensive and ptodate machinery thus there is greater production of goods, the cost is reduced and the firm can earn higher profit ti producing better quality of goods. Spread of risk : In a company form of organization, the risk is distributed among the large number of shareholders. Bold management : This type of organization can undertake big risks which sole proprietorship or pa rtnership form of organization cannot do. Disadvantages of Joint Stock Company Difficult to form: The formation registration of joint stock company involves a long and complicated procedure. A number of legal documents and formalities have to be completed before a company can start business. The process of formation requires the services of specialists such as chartered accountants, company secretaries, etc. Because of all this, the cost of formation of a company is very high. Excessive government control: Joint stock companies are regulated by government through the Companies Act and other economic legislations. Especially, public limited companies are required to complete various legal formalities as provided in the Companies Act and other legislations. Non-compliance with these causes a heavy penalty. This affects the smooth functioning of the companies. Delay in policy decisions: Generally policy decisions are taken at the â€Å"Board of Directors† meetings of the company. Further, the company has to fulfill certain procedural formalities. These procedures are time consuming and therefore, may delay action on the decisions. Double taxation: The joint stock company is subject to double taxation . it pays tax on its earnings to the government . the tax is also paid by the share holders on the receipt of dividend from the company. Exploitation of shareholders: The shareholders of a company mostly remain unknown to one another . hey seldom attend the annual meetings. Favouritism and nepotism: The directors ,managers etc employ their near and dear ones at the key positions of the company who may or may not be fit for the assigned responsibilities Stock exchange speculation: The joint stock company facilitates speculation in shares at stock exchanges. The reckless speculation is harful to the interes of the share holders and for sound investment . These articles have shed some new light on this question for me. My understanding of the separation of church and state is this; it was started to keep the government from forcing one religion on everyone. The United States of America wanted people to worship freely. The First Amendment to the U. S. Constitution says: â€Å"Congress shall make no law respecting an establishment of religion; or prohibiting the free exercise thereof†¦. † (Legal Information Institute). The U. S. Supreme Court has interpreted this clause to mean that religion and government must stay separate for the benefit of both. The government holds no religious viewpoint and leaves all decisions about faith and religious practice to its citizens. I also understand that what Americans United for the Separation of Church and state stand for. The group was formed to insure that church and state stay separate. In the case of LaClair I understand why you would want to sue the school and the teacher. Mr. Paszkiewicz was way out of line for stating things like â€Å"If you reject his gift of salvation, then you know where you belong,† (There Should Not Be Prayer and Bible Study in Public Schools) he makes it hard for other teachers or coach who are religious. On your website in the Why We Care section it states† AU believes your right to religious liberty is not secure when the government presumes to promote religion over non-religion or favors one faith over another. We believe your rights are not secure when the government uses public services intended for everyone, such as the public schools, to indoctrinate or coerce participation in worship† (Why We Care). This is very true, you guys hold up to that very statement but that’s the problem. AU stands up for everyone who is against religion being in public school but what about the people who want to bow their head and get on one knee when others are praying? Take the case of Marcus Borden, he was told to stop praying with his football team and he did but the student kept praying. Borden was spotted in the prayer circle still and everyone believed he was still leading praying. Borden told the school that all he wanted to do was bow his head and go down on one knee while the students prayed (Faith and Freedom). The AU sided with the school officials when Borden sued; AU stands up for the non-religious people but never for the religious people. Borden had done nothing wrong and was still in hot water with the school. If I’m not mistaken students are allowed to have small prayer groups in public school as long as they don’t bother others or others are not forced to join. So I feel like as if AU should have stood up for what Borden was doing, he was no longer leading praying so he was not going against separation of church and state, he was stayed in the guidelines. In another one of your cases that did not have to go to court you again sided with the non-religious person. In this case a public-school principal was hosting prayer-breakfasts for staff and including religious messages in emails to staff (AU Out-of-Court Victories). One of the staff felt this was wrong and instead of simply asking to be taking off the invite list they ran to AU and you found some way to make this a violation of separate of church and state. Separation of Church and State was started to keep everyone’s right to worship the way they wanted and to do so freely. AU is said to stand behind this law, but from my point of view all the AU is trying to do is keep religion out of any public place. So my question is how can we the people who are religious worship freely if everywhere we go we can’t worship? Let’s narrow it down to just public schools, public schools teach about 90% of all American students (There should Not be Prayer and bible Study in Public Schools). Among the 90% more students are religious then non-religious, so I feel that High school students should be teach the basics of the major religions. In an interview Stephen Prothero says â€Å"The question isnt what religion is true or most valuable. The question is, what religious traditions do you need to know something about in order to be an effective citizen? If you look at the congressional record, youre not going to see a lot of references to the Buddha and to the Bhagavad-Gita. But youre going to see tons of references to the Bible, to Armageddon, to apocalypse, to the Promised Land, to the Good Samaritan† (There Should Be Prayer and Bible Study in Public Schools). Prothero make a valid point, the United States was founded on Protestant religion and the Declaration of Intendances even quotes the bible. High school students should have to learn about religion in school and in doing so I feel that students will learn to respect other people’s faith or non-faith. In closing there has to be a middle ground. Public school should be that middle ground, it should be a place where religion is welcomed and understood, not disregarded and tossed aside. Religious and non-religious people have to learn to work together and if our students are teach to respect each other in what they believe then this could work. Public school cannot keep being a place where students are forced to watch a one-hour pro-homosexual video, to censor any mention of intelligent design, to use classroom materials that parents consider pornographic, to force students to answer nosy questionnaires with suggestive questions about sex and suicide, and to prohibit antigay T-shirts but welcome anti-Bush T-shirts( Phyllis Schlafly).

Abortion Preciousness is a story that goes beyond the struggles of a teen-aged girl's life, but it also portrays themes of basic life. Themes like, "letting go" and "cultural differences" apply to almost all people in one way or another. For that reason, Preciousness is not just a story about a young girl's life, but it's a story about all of our lives. Throughout the story, the reader is presented with a series of conflicts the girl faces. Her main problem was that she had a problem with men and boys. She felt that they were evil and only wanted one thing. I feel that she lived in her own world, where she made all the rules. "...she swallowed her coffee which the maid, scratching herself in the gloom of the kitchen, had reheated. She scarcely touched the bread which the butter failed to soften."1 This was extremely unhealthy for her, physically and mentally. Not eating healthily will make a person weak and can lead to many diseases. She did this to have men and boys avoid her, which was also unhealthy. Man or woman, one cannot avoid life and its people. I don't feel it is possible to be psychologically fit if a person cannot interact with a certain group because of a fear they have. Being scared of a certain person in that group is normal, but the entire group is a bit extreme. Life is a learning experience, but you can't fully experience life if you avoid certain things in it. One has to face reality at some point in life, it can be done the easy way, by accepting reality, or done the hard way, by denying the truth. The main character of the story decided that it would be better if she did things the hard way. The rising action, when the two boys were approaching here on an early morning, lead to a major problem. At the climax, the two boys groped the girl. At that moment, her bubble, malignantly protecting her from the world of reality, exploded. The destruction of her bubble led to an amazing revelation that changed her life. She was no longer a girl, but a young woman. I feel that this was when she started accepting the truth about life and about whom she had become. She then understood that you couldn't avoid life. I think that there was more than one main theme in this story. Prejudice, fear, and hate are three themes that can be closely linked together. These factors play a large role in the story and in our lives. Like the girl in the story, we tend to make assumptions about other people before we actually know it's true. The main character assumes that all men and boys want that one thing. She feels that it is her place to classify other people, in this case, men. "Afraid they would"say something to her," would look her up and down."2 Even though the men didn't care about her, she still had a fear of them. People fear what they don't understand and have no control over. The girl had no control over the men and boys, so she feared what they might say or do to her. She is fearful of putting trust into men, scared of how they might take advantage of that trust. As the days built up, she developed a hatred of men. She knew that they"knew." I believe that neither side really knew anything truly significant about each other. The girl couldn't have known what the men knew and what they were thinking. The men probably didn't know much about the girl either. I think that the girl surrounded herself in a bubble that was much worse than reality. Repression was also a very considerable theme. For the whole time, she repressed her true self. She tried to hide what she was becoming, which was a woman. She had to learn to let go of her childhood and start accepting the responsibilities of being older and more mature. This is something everyone has either gone through, is going through, or will go through in life. It's a force of nature, like a hurricane or earthquake. It happens when it wants to, all we can do is try to be as prepared for it as possible. There is nothing that can hold it back. This force will consume the old personality and bring out a new, more experienced personality. It's part of the life process

T.S. Eliot Biography essays Thomas Stearns Eliot was born on September 26, 1888, in St. Louis, Missouri. He was the seventh and last child of Henry Ware Eliot, a brick manufacturer, and Charlotte Eliot, who was a talented poet in his own right. Both parents were descendent from families in England that immigrated to Massachusetts in the seventeenth century. William Greenleaf Eliot, Eliots grandfather, moved to St. Louis after he graduated from Harvard in the 1830s. There he became a Unitarian minister, but the connection to New England was maintained through the familys summer home on the Atlantic coast in Gloucester, Massachusetts. During his childhood Eliot attended Miss Lockes Primary School and Smithy Academy in St. Louis. His first poems appeared in the Smith Academy Record in 1905, the year of his graduation. In the year after that he attended Milton academy and then entered into Harvard University. He frequently published in the Harvard Advocate and took courses with professors such as Paul Elmer More and Irving Babbitt. In 1909 Eliot received his B.A. and stayed in Harvard to earn his masters degree in English literature, which he received the following year. The fall of 1910 is when he spent a year in Paris writing, reading, soaking up the atmosphere and attending classes at the Sorbonne. When he returned to America, he went back to Harvard to continue his studies in philosophy and also serve as a teaching assistant. After being awarded a traveling fellowship for the year of 1914-1915, he had planed to study in Germany, but the start of World War I forced him to leave the country early. Eliot would find himself in England where he would spend the remaining years of his life. In England he met Ezra Pound, on September 22, 1914, who would exert a great amount of influence into his work and his literary career.
